Reasons for terminating a contract

A contract may be terminated for a number of reasons, including:

  • Terminating for any reason by giving notice – most contracts state the amount of notice that must be given before they are ended, i.e. 30 days.  If you have entered into a contract with a supplier and the contract does not include provisions for ending the agreement for any reason provided you give notice, you may not be entitled to end the contract simply because it no longer meets your business needs.  Think carefully before entering into such an agreement.
  • Terminating the contract at common law – contracts can be terminated at common law following a repudiatory (serious) breach, however, references must be made to the termination clauses within the contract which may state the aggrieved party must give the party in breach the opportunity to rectify the situation before the contract can be ended.
