Master Service Agreements
Also known as MSAs or simply Service Agreements, master service agreements are contracts that outline the scope and nature of the relationship between two contracting parties. They can be highly useful for parties with multiple agreements for different affairs in place.
MSAs serve to minimise any disagreements between parties through extensively detailing the parties’ expected conduct and mapping out and managing the parties’ expectations for each other, thereby reducing the possibility of unpleasant surprises. Some MSAs also include provisions for dispute resolution in the event that issues or disagreements appear during the agreement. By clearly setting out the definitions and nature of the contractual relationship, MSAs offer peace of mind for companies and individuals to focus on their business activities. In addition, it also paves the groundwork for the agreement, leaving space and discretion for the parties to decide on the particulars to best suit their business needs.
Components of MSAs include but are not limited to:
- General background of services offered specifying the scope and type of services a party has to offer; usually the details will be reserved for the Statement of Work.
- Payment and charge terms outlining the conditions and times by when the supplier will be paid. Penalties for late payment may also be added.
- Liability and potential damages in the event of losses.
- Termination clauses, usually detailing the conditions, notice periods and any penalties for doing so.
Statements of Work (SOW)
Statements of Work (SOW) are supplementary documents that outline the scope, timeline, costs, and other details between two parties. This corresponds with MSAs in providing specific details to individual agreements, clarifying the respective roles, responsibilities, targets, objectives, and timelines so that the parties can plan ahead and achieve the most time and cost-effective outcomes.
This helps clients manage expectations and provides transparency on how parties can cooperate and assist each other in reaching their mutual goals. Quick modifications are also allowed without having to go through the process of redrafting an entire agreement. It is this convenience that helps parties avoid disagreements and allows them to cooperate with each other in the most effective way possible.
SOWs can be incorporated as a part of an MSA, or can be treated as an individual contract separate to an MSA. This is flexible and entirely depends on the needs of the parties and the nature of the contracts, such as the value, complexity, and other considerations in place.
Here are some suggested clauses for Statements of Work:
- Detailed scope of services where the objectives and projected outcomes of certain projects or agreements.
- Fees, payment terms, and expenses
- Intellectual property (IP) licencing terms regarding the services or deliverables
- Exit assistance requirements
